Content Credits Terms and Conditions

1. Introduction
These Terms and Conditions ("Terms") govern the purchase and use of Content Credits offered by Quadratic Digital - Fzco ("Company," "we," "us," or "our") to you ("Client"). By purchasing Content Credits, you agree to be bound by these Terms.
2. Description of Content Credits
- Content Credits can be purchased by the Client at a rate of $250 per credit.
- Each Content Credit entitles the Client to the creation of up to 1500 words of written content.
- Content applicable under these Credits may include blog posts, website content, promotional articles, and other forms of written digital content as agreed upon.
3. Purchase and Use of Content Credits
- Content Credits must be purchased in advance of content creation.
- Upon purchase, Clients will receive confirmation of their Content Credit balance.
- To commission content using a Content Credit, the Client must provide a clear brief and any necessary background materials to ensure content aligns with their objectives.
4. Content Development Process
- Content creation will commence upon receipt of the Client’s brief and necessary materials.
- The Client is entitled to two rounds of revisions per piece of content to ensure it meets their specifications. Further revisions or significant changes requested beyond the initial approved draft may incur additional charges or necessitate the use of additional Content Credits.
- Delivery timelines for content created using Content Credits will vary based on the complexity of the request and current workload. Timelines will be communicated and agreed upon at the time of the content request.
5. Transfer of Rights
- All content produced and delivered to the Client under this agreement will be original and tailored to the Client's specifications.
- Copyright ownership of the content will be transferred to the Client upon completion and full payment of the respective Content Credit.
6. Expiration and Refund Policy
- Content Credits must be utilized within 12 months from the date of purchase, after which they will expire.
- Unused Content Credits are non-refundable and cannot be exchanged for cash or other services.
7. Conversion of Development Hours
- Clients with active service plans may opt to convert 1.5 hours of development time into one Content Credit.
- Requests for conversion must be made in writing before the end of the applicable billing cycle.
- Converted Credits are subject to the same terms as purchased Credits and must be used within the 12-month validity period.
8. Limitations and Liability
- The Company is not responsible for the marketing or performance outcomes of the content once delivered. The effectiveness of the content in achieving the Client’s marketing or business objectives is not guaranteed.
- While all efforts are made to ensure accuracy and satisfaction, the Company shall not be held liable for any direct or indirect losses resulting from the use of the content provided.
9. Miscellaneous
- These Terms constitute the entire agreement between the parties concerning the subject matter herein and supersede all prior agreements and understandings.
- If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions will continue in full force and effect.
- Any amendments to these Terms will be effective only if made in writing and signed by both parties.
10. Project Management and Communication
- The Company utilizes Notion as the primary tool for managing and scheduling the creation of content for clients. Clients will be provided access to a dedicated Notion space for their projects.
- Within Notion, clients can view project timelines, submit and manage content requests, track the status of ongoing work, and communicate directly with our team regarding any content-related inquiries or feedback.
- Clients are responsible for maintaining active engagement within Notion to ensure timely responses to queries or approvals to facilitate the smooth delivery of services. Failure to respond timely within Notion may result in delays in content delivery, for which the Company is not liable.
- All formal communications regarding project changes, requests for additional services, or revisions to agreed terms must be confirmed via Notion to ensure accurate tracking and mutual understanding.
